Our team is located at the TUM campus in Heilbronn. We conduct research in the area of corporate law. We especially focus on topics like European company law, comparative law, contract negotiations, contract governance, business networks, corporate governance, legal methodology as well as the economic analysis of law and empirical legal studies. Together with our colleagues from the Global Center for Family Enterprise (GCFE) we pay special attention to the perspective of family firms.

Below selected recent and ongoing research topics will be presented.
Increasing internationalisation makes knowledge of the available options of structuring corporations indispensable. Therefore, we research genuine European corporate law, i.e. in particular the supranational company law forms as well as the European company law directives, which have a significant influence on national law. In addition, our research is oriented towards comparative law and focuses on different national company laws in the EU. Paramount are, group law and corporate governance aspects.

Contract negotiations are of great practical relevance. We explore the subject matter in its entirety, i.e. from the preparation process of negotiations, through the actual negotiation process, up to the phase of contract implementation and matter of follow-up. The research is interdisciplinary and combines both psychological and economic approaches with findings from the field of law and communication science. A current research focus is the assessment of lies in contract negotiations.

Our research on contract governance deals with the improvement of contract design. By setting the right incentives, contract design can make a significant contribution to the success of entrepreneurial projects. In this respect, in particular findings of behavioral economics are taken into account. Overall, our research focuses on the idea of cooperation, on a holistic approach and medium to long-term success. Related to this, is also the researched idea of “enabling law”, i.e. the law’s function to promote economic success.

Small and medium-sized enterprises use business networks to compensate for the economies of scale and scope enjoyed by large companies. Business networks are therefore of great practical importance not only in Europe but also on the global plane. Our research focuses in particular on the structure and governance of business networks and how to grasp both of these matters from a legal point of view.

We investigate legal-methodological issues across topics and levels (EU law and national law). Our research aims at a deeper understanding of both the methodology of legislation as well as the application of enacted law. Currently, we are investigating the role of the Rechtsgefühl (feeling how the law should be) and the Judiz (feeling how the law is) in contract law

Lecture and Exercise
This module covers the legal essentials of running a business in Germany and in the European Union. It focuses on typical problems, which entrepreneurs and employees might encounter in practice. Topics covered will be, inter alia, the formation and termination of contracts, selected types of contract (in particular, sale of goods), torts, property law, the law of business associations, intellectual property law, competition law. The lecture covers the theoretical aspects of the module while the exercises focuses on solving case studies.
Lecture and Exercise
This module provides students with an overview of the areas of European Union law relevant to companies. The topics covered are: the basic structure of the European Union, the internal market and the fundamental freedoms, the EURO, European trade, company and capital market law, competition law, prohibition of state aids and the principles of EU intellectual property rights. The lecture covers the theoretical aspects of the module while the exercises focuses on solving case studies.
This module covers the economic and psychological basics of contract negotiations as well as important communication tools for negotiations. The following topics are discussed: Basic terms of contract negotiations (like BATNA and ZOPA etc.); negotiation strategies and concepts (Harvard negotiation concept, win-win, win-lose etc.); effects of behavioural economics and negotiation tactics based on it (anchoring effect etc.); negotiation tactics (based on deception, pressure and defensive tactics etc.); principal agent problem in negotiations; communication (question techniques, answer techniques, argumentation techniques); emotions (core concerns framework); gender aspects in contract negotiations.

This module covers concepts and tools to analyze competition practices and market structures from a legal and an economic point of view. The following topics are discussed: market structures (perfect competition, monopoly, oligopoly, monopolistic competition); anti-competitive practices: horizontal and vertical restraints (dumping, price-fixing, cartels, etc.); European regulation and cases; economic criteria to analyze situations related to these topics in business environments.
We are looking forward to supervising your Doctoral, Master or Bachelor thesis in the area of corporate law or contract negotiation. We welcome interdisciplinary research projects.
